1. 《关于行政申请再审案件立案程序的规定》发布

最高人民法院日前发布《关于行政申请再审案件立案程序的规定》,自2018年1月1日起施行。

该司法解释共15条,规定了申请再审有下列情形之一的,人民法院不予立案:再审申请被驳回后再次提出申请的;对再审判决、裁定提出申请的;在人民检察院对当事人的申请作出不予提出检察建议或者抗诉决定后又提出申请的。前两种情形,人民法院应当告知当事人可以向人民检察院申请检察建议或者抗诉。司法解释明确,当事人申请再审,应当在判决、裁定、调解书发生法律效力后6个月内提出。申请再审期间为人民法院向当事人送达裁判文书之日起至再审申请人向上一级人民法院申请再审之日止。申请再审期间为不变期间,不适用中止、中断、延长的规定。

1. Provisions on Case Acceptance Procedures for Administrative Retrial Petitions

Recently, the Supreme People’s Court issued the Provisions on the Cases Acceptance Procedures for Administrative Retrial Petitions, effective from January 1, 2018.

With a total of 15 articles, the judicial interpretation provides that if a petition for retrial falls under any of the following circumstances, the people's court should not accept it: First, a party files a petition for retrial again after the petition is rejected. Second, a party files a petition for retrial against a judgment or ruling entered after retrial. Third, a party files a petition for retrial again after the people's procuratorate makes a decision not to offer a procuratorial recommendation on the party’s petition or makes a decision not to file an appeal. Under the first two circumstances, the people's court should notify the party that the party may apply to a people's procuratorate for a procuratorial recommendation or appeal. According to the judicial interpretation, a party should file a petition for retrial within six months from the effective date of a judgment, a ruling, or a consent judgment. The period of petition for retrial starts from the date of service of the adjudicative document on a party by the people’s court to the date when a petitioner files a retrial petition with the people's court at the next higher level. The provisions on suspension, interruption, and extension do not apply to the period of petition for retrial, which is a peremptory period.

2. 28部门联合惩戒对外经济合作失信行为

近日,国家发展改革委、人民银行、商务部、国家工商总局等28个部门日联合印发《关于加强对外经济合作领域信用体系建设的指导意见》和《关于对对外经济合作领域严重失信主体开展联合惩戒的合作备忘录》 。

根据《指导意见》,参与实施设施联通、贸易畅通、资金融通等合作的对外经济合作主体和相关责任人,如出现违反合作国家和地区相关法律法规以及违反国际公约、联合国决议,扰乱对外经济合作秩序且对推进“一带一路”建设造成严重不良影响、危害我国家声誉利益等行为,相关主管部门将失信主体、责任人和失信行为记入信用记录。

《备忘录》针对上述四大对外经济合作主体和责任人提出五大类39条联合惩戒措施。联合惩戒对象为被对外经济合作主管部门列为对外经济合作领域严重失信行为的责任主体和相关责任人。

2. Twenty-eight Departments Jointly Punish Dishonest Acts in Foreign Economic Cooperation 

Recently, 28 departments including the National Development and Reform Commission, the People’s Bank, the Ministry of Commerce and the State Administration for Industry and Commerce jointly issued the Guiding Opinions on Strengthening the Development of a Credit System in the Field of Foreign Economic Cooperation and the Memorandum of Cooperation in Jointly Punishing Seriously Dishonest Participants in the Field of Foreign Economic Cooperation.

According to the Guiding Opinions, if any participants in foreign economic cooperation such as infrastructure, trade, and financial connectivity and relevant liable persons have violated laws and regulations of the partner countries and regions, international conventions, or United Nations Resolutions, disrupting the order of foreign economic cooperation and having an adverse effect on the "Belt and Road" Initiative or damaging the reputation and interests of China, relevant departments should put the dishonest participants, liable persons, and dishonest acts into their credit records.

The Memorandum sets forth 39 joint punishment measures in five categories against the above four types of foreign economic cooperation participants and liable persons. The subjects of the joint punishment are the liable participants and relevant liable persons listed by foreign economic cooperation departments as being serious dishonest in the field of foreign economic cooperation.

3. 《律师会见监狱在押罪犯规定》发布

司法部日前印发《律师会见监狱在押罪犯规定》,自发布之日起施行。

《律师会见监狱在押罪犯规定》共16条,突出变化有以下几个方面:一是扩大律师代理范围。二是增加方便律师会见措施。三是取消律师会见人数限制。四是明确辩护律师会见时不被监听。五是突出保障律师执业权利和救济措施。

3. Provisions on Meetings between Lawyers and Prison Inmates Issued

Recently, the Ministry of Justice issued the Provisions on Meetings between Lawyers and Prison Inmates, effective from the date of issuance.

With a total of 16 articles, the Provisions show the following prominent changes: First, the scope of representation by lawyers is expanded. Second, several measures for more convenient meetings between lawyers and inmates are added. Third, the restriction on the number of inmates that a lawyer is allowed to meet is removed. Forth, it is clarified that a defense lawyer should not be monitored while meeting an inmate. Fifth, measures for protecting lawyers’ practicing rights and remedies are highlighted.

4. 国资委加强央企PPP风险管控

近日,国务院国有资产监督管理委员会正式印发了《关于加强中央企业PPP业务风险管控的通知》。

《通知》从强化集团管控、严格准入条件、严格规模控制、优化合作安排、规范会计核算、严肃责任追究六方面来防范央企参与PPP的经营风险。

《通知》要求,各中央企业对PPP业务实行总量管控,从严设定PPP业务规模上限防止过度推高杠杆水平。与此前《通知》征求意见稿相比,此次国资委公布的正式《通知》在风险管控上的要求更为严格,还明确不少风险红线。《通知》称,对违反本通知要求,未履行或未正确履行投资管理职责造成国有资产损失以及其他严重不良后果的各级经营管理人员,要严肃追究责任,同时对PPP业务重大决策实施终身责任追究制度。此外,对于PPP的收益性,《通知》也给予了坚持“事前算赢”原则的明确要求。

4. SASAC Enhances PPP Risk Management and Control of Central Enterprises

Recently, the State-owned Assets Supervision and Administration Commission (SASAC) of the State Council officially issued the Notice of Enhancing the PPP Risk Management and Control of Central Enterprises.

The Notice aims to prevent operational risks of central enterprises participating in PPP from six aspects: reinforced group management and control, strict access conditions, rigorous scale control, optimization of cooperative arrangements, regulation of financial accounting, and strict accountability.

According to the Notice, all central enterprises should conduct total quantity management and control of PPP, and set a strict upper limit for PPP to avoid any excessively high leverage level. Compared with the previous exposure draft, the Notice officially issued by the SASAC has stricter requirements for risk management and control, and draws several clear risk red lines. According to the Notice, where any management personnel at various levels fail to perform or correctly perform their investment management duties in violation of the Notice, causing losses to state-owned assets or having any other serious adverse consequences, they should be held accountable without exception, and a lifelong accountability system is applied to major PPP decisions. In addition, the Notice sets forth an explicit requirement of adhering to the principle of “profit forecasting” as to the profitability of PPP. 

5. 《国家林业局委托实施林业行政许可事项管理办法》公布

近日,《国家林业局委托实施林业行政许可事项管理办法》发布,自2017年12月1日起施行。

《办法》规定,法律、行政法规规定由国家林业局实施的林业行政许可事项,国家林业局可委托省(区、市)政府林业主管部门或符合法律规定的其他机关实施。国家林业局行政许可管理机构可根据行政许可承办机构工作需要和地方行政审批制度改革要求,提出委托实施林业行政许可事项的建议,报请国家林业局局务会议审议。国家林业局委托实施林业行政许可事项,应当考虑拟受委托机关的承接能力,并征求拟受委托机关的意见,应当以国家林业局公告的形式向社会公布,应当与受委托机关签订委托实施林业行政许可事项的书面协议。

5. Measures for Delegating Forestry Administrative Licensing Items Issued

Recently, the Measures for the Administration of the Implementation of Forestry Administrative Licensing Items Delegated by the State Forestry Administration were issued, effective from December 1, 2017.

According to the Measures, the State Forestry Administration may authorize the forestry departments of the people's governments of provinces, autonomous regions, and municipalities directly under the central government and other authorities under applicable laws to implement forestry administrative licensing items implemented by the State Forestry Administration under laws and administrative regulations. Based on the needs of the administrative licensing processing office and the requirements for the reform of the local administrative approval system, the administrative licensing management office of the State Forestry Administration may submit recommendations on delegation of implementation of forestry administrative licensing items to the executive meeting of the State Forestry Administration for deliberation. To delegate implementation of forestry administrative licensing items, the State Forestry Administration should consider the capabilities of the delegatees to undertake them, request their opinions, publish them in the form of an announcement of the State Forestry Administration, and sign written delegation agreements with the delegatees.

6. 国务院决定划转部分国有资本充实社保基金

近日,国务院印发《划转部分国有资本充实社保基金实施方案》。

《方案》主要内容包括以下方面:一是划转范围、对象、比例和承接主体。将中央和地方国有及国有控股大中型企业、金融机构纳入划转范围。公益类企业、文化企业、政策性和开发性金融机构以及国务院另有规定的除外。划转比例统一为企业国有股权的10%。社保基金会和各省(区、市)国有独资公司等承接主体,作为财务投资者,不干预企业日常生产经营管理,其收益主要来源于股权分红。二是划转程序和划转步骤。2017年选择部分中央企业和部分省份开展试点;2018年及以后,分批开展。三是划转配套措施。自本方案印发之日起,划转范围内企业涉及国有股权变动的改革事项,企业改革方案应与国有资本划转方案统筹考虑;现行国有股转(减)持筹集社会保障基金政策停止执行。《方案》还提出探索建立对划转国有股权的合理分红机制。

6. State Council Decides to Transfer Certain State Capital to Replenish the Social Security Fund 

Recently, the State Council issued the Implementation Plan for Transferring Certain State Capital to Replenish the Social Security Fund.

Under the Plan, first, as to the scope of transfer, capital for transfer, ratio of transfer, and transferees, medium- and large-sized central and local enterprises and financial institutions owned or controlled by the state are included in the scope of transfer, except public welfare enterprises, cultural enterprises, policy and development financial institutions, and those otherwise specified by the State Council. The ratio of transfer is uniformly fixed at 10% of the state’s equities in an enterprise. As financial investors, the Social Security Fund, wholly state-owned companies, and other transferees in provinces (autonomous regions or municipalities directly under the central government) should not interfere with the daily production and operation of the enterprises, and their incomes are mainly derived from dividends. Second, as to transfer procedures and steps, certain central enterprises and provinces are selected to participate in a pilot program in 2017, and in 2018 and forward, the work will be conducted by groups. Third, as to supporting measures, where, after the issuance of the Plan, an enterprise within the scope of transfer undergoes any reform involving a change of the state’s equities, its enterprise reform plan should be considered together with its state capital transfer plan; and the existing policy for the transfer (or reduction) of state shares to raise funds for the Social Security Fund shall cease to be implemented. In addition, the Plan requires exploration for the establishment of a reasonable dividend distribution mechanism for the transferred state’s equities.

7. 资源税法公开征求意见

近日,财政部、国家税务总局就《中华人民共和国资源税法(征求意见稿)》向社会公开征求意见,意见反馈截止于2017年12月20日。

征求意见稿共19条,明确了资源税纳税人为在中华人民共和国领域和管辖的其他海域开采矿产品或者生产盐的单位和个人,征税对象为矿产品和盐,其中矿产品是指原矿和选矿产品。关于计征方式和应纳税额,征求意见稿所附《资源税税目税率表》统一列明了能源矿产、金属矿产、非金属矿产和盐4大类、146个税目。

7. Public Comments Requested on Resource Tax Law

The Ministry of Finance (MOF) and the State Administration of Taxation (SAT) are requesting public comments on the Resource Tax Law of the People’s Republic of China (Exposure Draft), and comments may be submitted until December 20, 2017.

With a total of 19 articles, the Exposure Draft specifies that taxpayers of resource tax are entities and individuals which exploit minerals or produce salt within the territory of and in other sea areas under the jurisdiction of the People’s Republic of China, and the objects of taxation are minerals and salt. Minerals are raw ores and mineral processing products. 

The Table of Taxable Items and Tax Rates of Resource Tax attached to the Draft Exposure includes the levying methods and the amounts of tax payable for four categories of energy resource minerals, metal minerals, non-metal minerals, and salt and 146 taxable items.

8.十六部委发文推进实施制造强国战略

近日,工业和信息化部、发展改革委、科技部等十六部委联合印发《关于间投资发挥民作用推进实施制造强国战略的指导意见》。

《指导意见》按照“市场主导、问题导向、协同推进、公平共享”的原则,从民营企业反映强烈、制约民间投资、影响提质增效升级的突出问题出发,提出了八项提升民营制造业转型升级的主要任务,鼓励支持制造业民营企业提升创新发展能力、两化融合水平、工业基础能力和质量品牌水平,推动绿色制造升级、产业结构布局优化、服务化转型以及国际化发展。

8. Sixteen Departments to Advance the Manufacturing Power Strategy

Recently, sixteen departments including the Ministry of Industry and Information Technology, the National Development and Reform Commission, and the Ministry of Science and Technology jointly issued the Guiding Opinions on Highlighting the Role of Private Investment in Advancing the Implementation of the Manufacturing Power Strategy.

Under the principle of “market-driven, problem-oriented, coordinated advancement, and fair sharing” and by targeting prominent issues that have caused serious concerns in the private sector, restricted private investment, and affected quality and efficiency improvement and upgrading, the Guiding Opinions set forth eight major tasks to transform and upgrade private manufacturing, encourage and support improvement of innovative development capacities, integration of information technology and industrialization, fundamental industrial capacities, and brand quality of private manufacturing enterprises, and promote upgrading to green manufacturing, optimization of the industry structure and layout, service-oriented transformation, and international development.

9. 《证券交易所管理办法》修订 

近日,中国证监会发布修订后的《证券交易所管理办法》,自2018年1月1日起施行。

修订的主要内容包括:完善交易所内部治理结构,增设监事会并进一步明确会员大会、理事会、监事会、总经理的职权;突出交易所自律管理属性,明确交易所依法制定的业务规则对证券交易活动的各参与主体具有约束力;强化交易所对证券交易活动的一线监管职责,明确交易所对于异常交易行为、违规减持行为等的自律管理措施;强化交易所对会员的一线监管职责,建立证券交易所以监管会员为中心的交易行为监管制度,进一步明确会员的权利义务;强化证券交易所对证券上市交易公司的一线监管职责,要求证券交易所对证券上市公司的信息披露、停复牌等履行自律管理职责;进一步完善证券交易所在履行一线监管职责、防范市场风险中的手段措施,包括实时监控、限制交易、现场检查、收取惩罚性违约金等。

9.  Revised Measures for Regulating Stock Exchanges Released

Recently, the China Securities Regulatory Commission (CSRC) issued the revised Measures for the Administration of Stock Exchanges, effective from January 1, 2018. 

The revision mainly includes: improving the internal governance structure of a stock exchange, adding a board of supervisors, and further clarifying the powers of the assembly of members, the board of directors, the board of supervisors, and the general manager; highlighting the self-regulatory role of a stock exchange and clarifying the binding force of business rules of a stock exchange on all participants in securities trading; strengthening a stock exchange’s duty of front line supervision of securities trading and specifying a stock exchange’s self-regulatory measures for abnormal transactions and illegal shareholding reduction, among others; strengthening a stock exchange’s duty of front line supervision of members and establishing a transaction supervision system of a stock exchange with member supervision at its center to further clarify members’ rights and obligations; strengthening a stock exchange’s duty of front line supervision of companies with stocks listed and requiring a stock exchange to fulfill its self-regulatory duties in respect of information disclosure and stock trading halt and resumption, among others, of companies with stocks listed; further improving the measures for a stock exchange to fulfill its front line supervisory duties and prevent market risks, such as real-time monitoring, trading limitations, on-site inspection, and punitive liquidated damages.
