"Force Majeure"--- First line of defense against the epidemic!
Instruction for Using
‘Force Majeure Notification Letter’ Template
The current outbreak of novel coronavirus (2019-nCoV) cools down the market rapidly. The problem left to the market is that how will the outbreak affect the economy? It is foreseeable that the economy could be hit by significant reduction on employee turnover in the first quarter, delayed manufacturing of factories and tight restrictions on domestic and international travels. There are many international mainstream financial presses stated that the outbreak is much likely to disrupt the global supply chain. For example, the UK Financial Times reported that, “car manufacturers and auto parts suppliers relied on global supply chain has warned that after few weeks, the supply chain disruptions triggered by novel coronavirus outbreak in China may eventually affect the global supply chain. Factories in Europe and the USA could be forced to shut down within weeks.”
We attorneys at Zhonglun W&D are deeply aware that ‘Made in China’ is already a crucial part of the global supply chain. It is PRC attorneys’ mission and responsibility to assist and safeguard the legitimate rights and interests of Chinese enterprises during the outbreak, to control their legal risks as well as mitigate their economic losses to the greatest extent. In order to facilitate Chinese enterprises better deal with such emergency matter, our senior partners LIN Wei, TENG Yun, ZHU Xiangming, LIANG Xinyue and JING Xin drafted the ‘Force Majeure Notification Letter’ in Chinese, English, French, Spanish and Japanese respectively for enterprises in need to download and use for free. Enterprises affected by the outbreak may consider notifying business partners promptly about the negative impact brought by the outbreak regarding to production and operation. Furthermore, it is worth considering that the enterprises should try referring to the force majeure clause for the exemption of liabilities, so as to take initiative on legal affairs.
We welcome enterprises to download the template document. And we also feel obliged to remind you that whether the force majeure clause could be successfully applied to exempt the business subject to law and contract would depend on numbers of factors. Please do not hesitate to contact us if you need professional legal advice on such matter.
