安杰业绩｜安杰律师事务所助力北汽新能源与麦格纳集团成立纯电动乘用车领域的技术开发与整车制造合资公司
近日，北京汽车集团有限公司（“北汽集团”）下属新能源汽车板块上市公司北汽蓝谷5新能源科技股份有限公司（证券代码：600733）（“北汽蓝谷”）发布公告，其子公司北京汽车新能源汽车股份有限公司（“北汽新能源”）通过其控制的实体与麦格纳集团（“麦格纳”）旗下的Magna International Autolaunch Ireland Ltd.成立纯电动乘用车整车制造合资公司（“制造合资公司”），项目总投资额逾贰拾亿元人民币。
制造合资公司的设立涉及国有企业内部重组、国有产权进场交易和非公开协议交易、汽车产业政策要求、上市公司关联交易、外国投资者并购境内企业、知识产权授权安排等一系列法律问题。制造合资公司与双方于2019年初成立的整车技术开发合资公司共同构成北汽新能源与麦格纳倾力打造的对外开放共享的高端智能纯电动汽车研发与制造中心，并计划首先投产北汽新能源高端品牌ARCFOX的相关车型。
北汽集团是中国汽车行业的骨干企业，是涵盖整车及零部件研发与制造、汽车服务贸易、综合出行服务、金融与投资、通用航空等业务的国有大型汽车企业集团，旗下拥有北京汽车、北汽新能源、北京奔驰、北京现代等品牌。北汽集团为世界500强企业。
麦格纳总部位于加拿大安大略省，为全球最大的汽车零部件制造商之一，同时也是世界领先的汽车工程服务和整车制造代工公司，为世界多个知名品牌（如，奔驰）提供整车代工生产服务。麦格纳为世界500强企业。
安杰律师事务所北京办公室合伙人王煜和李夏萌代表中方为上述制造合资公司和技术开发合资公司两个合资项目提供了全程法律服务，包括交易架构设计、从投资意向书直至交割阶段的全部中英文双语交易文件的起草、审阅、谈判等。项目团队成员还包括律师李韵、宛莹、李洋和黄国能。
Recently, BAIC BluePark New Energy Technology Co., Ltd., a listed company controlled by Beijing Automotive Group Co., Ltd. (“BAIC”) in the business of manufacturing of new energy vehicle, has announced that, its subsidiary Beijing New Energy Automobile Co., Ltd. (“BJEV”), through an entity controlled by it, established joint venture (“CM JV”) with Magna International Inc. (“Magna”)’s affiliate company, Magna International Autolaunch Ireland Ltd., engaging in manufacturing of pure electric passenger vehicle (complete vehicle). The total investment was approximately RMB 2 billion.
The establishment of CM JV involves a series of legal issues, including with respect to restructuring of state-owned enterprise, purchase and sale of state-owned assets through public bidding process and private negotiation process, interpretation of automobile industrial regulatory policies, interested party transactions of listed company, acquisition of domestic enterprise by foreign investor as well as license of intellectual property rights. The CM JV together with a joint venture in the business of complete vehicle engineering established by both parties in January 2019 form an open platform with respect to the R&D and manufacturing of high-end intelligent pure electric passenger vehicle, based on which the first batch of vehicles put into production will be BJEV’s high-end vehicles with ARCFOX brand.
BAIC is a major automobile manufacturer in China, which is a large state-owned automobile enterprise group covering R&D and manufacturing of vehicles and parts &components, auto service trade, comprehensive travel service, finance and investment, general aviation and other business, operating well-known bands such as BEIJING, BJEV, BEIJING-BENZ, and BEIJING-HYNDAI.
Magna, headquartered in5 Ontario, Canada, is one of the biggest manufacturer of automobile parts &components in the world as well as a world-leading enterprise in automobile engineering and complete vehicle contract manufacturing, who has provided contract manufacturing service for many world-renowned brands, such as Benz. Both BAIC and Magna are members of Fortune Global Top 500.
Wang Yu and Simon Li, Partners from AnJie Beijing Office, representing the Chinese party, have provided legal services covering the entire process of the abovementioned two joint venture projects, including design of deal structure, drafting and reviewing of, and negotiation on the transaction documents throughout the whole deal process until closing. The legal team led by the two partners also include four associates, namely, Li Yun, Wan Ying, Li Yang and Huang Guoneng.
