Commercial Counsel
The Commercial Counsel will be based in Shanghai and will be legal partner to support Applied Materials China’s business operations with a focus on semi business, reporting to China Legal Head.
Responsibilities:
·To develop, maintain and update standard contract templates and assist with contract negotiation, signing and execution; to identify and address complex contractual risks and issues.
·To support field service operation needs, import & export, warehousing/logistics, sourcing & facility operations and activities;
·To work with other commercial legal team members in Applied Materials to set up, implement and drive for legal best practices.
·To support claims and dispute resolutions as they arise;
·To provide general corporate advice to Applied Materials business in China;
·To work closely with Trade team to track and guide trade compliance in business activities;
·To promote and assist in IP and compliance program locally in China;
·To assist with other daily operation matters and project work as assigned by China Legal Head.
Qualification Requirements:
·Minimum 6-8 years’ PQE; ability to work independently with limited day-to-day guidance or supervision.
·LLB or LLM degree from reputable law schools in China and/or overseas with solid China law knowledge and experience. China bar qualification is a must and HK contract law experience is a plus.
·Law firm plus inhouse experience in MNCs is preferred;
·Strong interpersonal and communication skills;
·Strong analytical skills with good commercial sense and judgement;
·Excellent English speaking and drafting skills;
·Self-motivated with strong sense of accountability and ownership; and
·Good team player.

Employment Law Director
Key Responsibilities:
This hands-on leadership role will be responsible for providing strategic and practical business advice to regional management, HR, and the business on a broad range of employment law issues in the APAC region.
You will also be expected to lead regional projects with cross-functional teams, and work closely with the HR, Employee Relations, Global Litigation/Investigations, and Ethics & Compliance teams.
The role requires expertise and thought leadership in critical areas of employment law, including hiring, terminations, non-competes, performance management, employee relations investigations, discrimination and harassment, retirement, executive separations, leaves of absence, worker classification, accommodations, employee mobility, and policy and training development and implementation.
Additionally, this leader will:
·Provide strategic and practical business advice on a variety of employment issues to Applied's APAC HR organization, senior management, and the business
·Manage employment litigation, arbitration, negotiations, or other disputes
·Create and conduct trainings on employment law related matters
·Lead and assist regional business units in creating and revising Applied policies, procedures, programs, plans and best practices
·Keep abreast of new developments in APAC area in order to help drive potential changes to policy and practice
·Act as a mentor and role model to others within the organization
Basic Qualifications:
·Holds a Bachelor's/Masters degree in Law from a recognized university and China/US bar admission preferred
·Work experiences (10+ years) in multinational law firms / top Chinese law firms / in-house legal departments of multinational corporations in High Tech industry
·Broad and comprehensive understanding of and passion for employment law
·Highest degree of personal and professional integrity and ethics
·Exercise a high degree of autonomy when making decisions that impact the business and/or its deliverables
·Enthusiastic, confident, and calm under pressure, and can work independently and manage and prioritize a diverse and complex workload in a dynamic, fast-changing environment
·Excellent verbal and written communication skills, impeccable integrity, good judgment, strong analytical skills, flexible, pragmatic, and a keen sense of humor
·Collaborative by nature and able to build strong partnerships
·Ability to influence beyond authority in a complex and matrixed organization
·Fluent in English and Mandarin, both written and spoken
Preferred Qualifications:
·Experience with protection of trade secrets, non-competes and non-solicitation agreements, and employee data privacy
·In-house experience at a multi-national corporation strongly preferred
·Other languages (Cantonese, Korean and Japanese) desirable but not essential
·Employment Law experience in other countries in APAC (Taiwan, Korea or Japan) desirable but not essential
