重磅!阿里巴巴被重罚182.28亿

2020年12月,市场监管总局依据反垄断法对阿里巴巴集团控股有限公司(以下简称阿里巴巴集团)在中国境内网络零售平台服务市场滥用市场支配地位行为立案调查。


市场监管总局成立专案组,在扎实开展前期工作基础上,对阿里巴巴集团进行现场检查,调查询问相关人员,查阅复制有关文件资料,获取大量证据材料;对其他竞争性平台和平台内商家广泛开展调查取证;对本案证据材料进行深入核查和大数据分析;组织专家反复深入开展案件分析论证;多次听取阿里巴巴集团陈述意见,保障其合法权利。本案事实清楚、证据确凿、定性准确、处理恰当、手续完备、程序合法。

经查,阿里巴巴集团在中国境内网络零售平台服务市场具有支配地位。自2015年以来,阿里巴巴集团滥用该市场支配地位,对平台内商家提出“二选一”要求,禁止平台内商家在其他竞争性平台开店或参加促销活动,并借助市场力量、平台规则和数据、算法等技术手段,采取多种奖惩措施保障“二选一”要求执行,维持、增强自身市场力量,获取不正当竞争优势。

调查表明,阿里巴巴集团实施“二选一”行为排除、限制了中国境内网络零售平台服务市场的竞争,妨碍了商品服务和资源要素自由流通,影响了平台经济创新发展,侵害了平台内商家的合法权益,损害了消费者利益,构成反垄断法第十七条第一款第(四)项禁止“没有正当理由,限定交易相对人只能与其进行交易”的滥用市场支配地位行为。


根据反垄断法第四十七条、第四十九条规定,综合考虑阿里巴巴集团违法行为的性质、程度和持续时间等因素,2021年4月10日,市场监管总局依法作出行政处罚决定,责令阿里巴巴集团停止违法行为,并处以其2019年中国境内销售额4557.12亿元4%的罚款,计182.28亿元。同时,按照行政处罚法坚持处罚与教育相结合的原则,向阿里巴巴集团发出《行政指导书》,要求其围绕严格落实平台企业主体责任、加强内控合规管理、维护公平竞争、保护平台内商家和消费者合法权益等方面进行全面整改,并连续三年向市场监管总局提交自查合规报告。

人民日报:推动平台经济规范健康持续发展


备受社会关注的阿里巴巴集团垄断案有了处理结果:4月10日,市场监管总局依法对阿里巴巴集团作出行政处罚,责令其停止违法行为,并处以其2019年销售额4%计182.28亿元罚款。此次处罚,是监管部门强化反垄断和防止资本无序扩张的具体举措,是对平台企业违法违规行为的有效规范,并不意味着否定平台经济在经济社会发展全局中的重要作用,并不意味着国家支持平台经济发展的态度有所改变,而是要坚持发展和规范并重,把握平台经济发展规律,建立健全平台经济治理体系,推动平台经济规范健康持续发展。

回顾整个案件,无论是违法行为的认定,还是罚款金额的确定,都体现了依法治国的基本要求,于法有据、于理应当。2015年以来,阿里巴巴集团为阻碍其他竞争性平台发展,维持、巩固自身市场地位,获取不当竞争优势,实施“二选一”垄断行为,限定商家只能与其进行交易,违反了《反垄断法》关于“没有正当理由,限定交易相对人只能与其进行交易”的规定,构成滥用市场支配地位行为。根据《反垄断法》,对实施滥用市场支配地位行为的经营者,应处上一年度销售额百分之一以上百分之十以下的罚款。监管部门综合考虑阿里巴巴集团违法行为的性质、程度和持续时间等因素,对其处以2019年销售额4%的罚款,有力维护了法律的权威,是对平台内商家和广大消费者合法权益的切实保护,也是对平台经济发展秩序的有效规范。


垄断是市场经济的大敌,平台经济的规范健康持续发展,尤其离不开公平竞争的环境。滥用市场支配地位的垄断行为,排除、限制了相关市场竞争,侵害了平台内商家的合法权益,阻碍了平台经济创新发展和生产要素自由流动,损害了消费者权益。没有公平竞争的良好生态,平台经济就会失去创新发展的强大活力。去年底召开的中央经济工作会议明确要求强化反垄断和防止资本无序扩张,近日召开的中央财经委员会第九次会议也强调“促进公平竞争,反对垄断,防止资本无序扩张”,得到社会热烈反响和广泛支持。监管部门落实中央精神,一手完善规则,推动反垄断法加快修订,发布关于平台经济领域的反垄断指南;一手严格规范执法,查处多起互联网领域垄断案件,产生了良好效果。

从平台经济长远健康发展角度看,依法规范与支持发展并不矛盾,而是相辅相成、相互促进的。唯有在鼓励创新的同时进行有效监管,才能以良法善治推动平台经济规范健康持续发展。放眼全球范围内的平台经济发展,依法规范,不仅不会带来行业的凋零,反而会促进其更有活力更高质量发展。发达国家对苹果、亚马逊等平台经济巨头的反垄断监管,并没有让这些企业失去核心竞争力,反而促使其积极做强核心业务,实现长远健康发展。同时,反垄断监管也在一定程度上助力互联网新锐诞生和成长,并为整个行业带来强劲活力。加强反垄断执法,正是以法治手段规制平台经济领域的垄断行为,给众多小公司、小网站带来良性竞争、茁壮成长的机会,使整个行业能持续创新、活力常在。从这个意义上说,依法规范,正是对平台经济发展的有力支持。

近年来我国平台经济快速发展,在经济社会发展全局中的地位和作用日益突显。平台经济有利于提高全社会资源配置效率,推动技术和产业变革朝着信息化、数字化、智能化方向加速演进,有助于贯通国民经济循环各环节,也有利于提高国家治理的智能化、全域化、个性化、精细化水平。正是得益于主要为民营企业的一大批优秀平台企业共同努力,我国成为了公认的全球数字经济发展较为领先的国家之一。推动平台经济规范健康持续发展,就要始终坚持“两个毫不动摇”,促进平台经济领域民营企业健康发展,不断营造良好的法治环境和营商环境,让民营经济创新源泉充分涌流、创造活力充分迸发。

我国平台经济发展正处在关键时期,要着眼长远、兼顾当前,补齐短板、强化弱项,营造创新环境,解决突出矛盾和问题,推动平台经济规范健康持续发展。此次监管部门处罚阿里巴巴集团,对企业发展是一次规范扶正,对行业环境是一次清理净化,对公平竞争的市场秩序是一次有力维护。规范是为了更好发展,“扯袖子”也是一种爱护。相信随着治理体系的不断健全,平台经济必将迎来更大发展机遇,更好地为高质量发展和高品质生活服务。

They had arrived in San Francisco, where their ship was decommissioned, and Paul bet that he would find himself a wife within two weeks. He was a taut, tattooed engine mechanic, six feet tall, with a passing resemblance to James Dean. But it wasn’t his looks that got him a date with Clara Hagopian, a sweet-humored daughter of Armenian immigrants. It was the fact that he and his friends had a car, unlike the group she had originally planned to go out with that evening. Ten days later, in March 1946, Paul got engaged to Clara and won his wager. It would turn out to be a happy marriage, one that lasted until death parted them more than forty years later. Paul Reinhold Jobs had been raised on a dairy farm in Germantown, Wisconsin. Even though his father was an alcoholic and sometimes abusive, Paul ended up with a gentle and calm disposition under his leathery exterior. After dropping out of high school, he wandered through the Midwest picking up work as a mechanic until, at age nineteen, he joined the Coast Guard, even though he didn’t know how to swim. He was deployed on the USS General M. C. Meigs and spent much of the war ferrying troops to Italy for General Patton. His talent as a machinist and fireman earned him commendations, but he occasionally found himself in minor trouble and never rose above the rank of seaman. Clara was born in New Jersey, where her parents had landed after fleeing the Turks in Armenia, and they moved to the Mission District of San Francisco when she was a child. She had a secret that she rarely mentioned to anyone: She had been married before, but her husband had been killed in the war. So when she met Paul Jobs on that first date, she was primed to start a new life. Like many who lived through the war, they had experienced enough excitement that, when it was over, they desired simply to settle down, raise a family, and lead a less eventful life. They had little money, so they moved to Wisconsin and lived with Paul’s parents for a few years, then headed for Indiana, where he got a job as a machinist for International Harvester. His passion was tinkering with old cars, and he made money in his spare time buying, restoring, and selling them. Eventually he quit his day job to become a full-time used car salesman. Clara, however, loved San Francisco, and in 1952 she convinced her husband to move back there. They got an apartment in the Sunset District facing the Pacific, just south of Golden Gate Park, and he took a job working for a finance company as a “repo man,” picking the locks of cars whose owners hadn’t paid their loans and repossessing them. He also bought, repaired, and sold some of the cars, making a decent enough living in the process. There was, however, something missing in their lives. They wanted children, but Clara had suffered an ectopic pregnancy, in which the fertilized egg was implanted in a fallopian tube rather than the uterus, and she had been unable to have any. So by 1955, after nine years of marriage, they were looking to adopt a child. Like Paul Jobs, Joanne Schieble was from a rural Wisconsin family of German heritage. Her father, Arthur Schieble, had immigrated to the outskirts of Green Bay, where he and his wife owned a mink farm and dabbled successfully in various other businesses, including real estate and photoengraving. He was very strict, especially regarding his daughter’s relationships, and he had strongly disapproved of her first love, an artist who was not a Catholic. Thus it was no surprise that he threatened to cut Joanne off completely when, as a graduate student at the University of Wisconsin, she fell in love with Abdulfattah “John” Jandali, a Muslim teaching assistant from Syria. Jandali was the youngest of nine children in a prominent Syrian family. His father owned oil refineries and multiple other businesses, with large holdings in Damascus and Homs, and at one point pretty much controlled the price of wheat in the region. His mother, he later said, was a “traditional Muslim woman” who was a “conservative, obedient housewife.” Like the Schieble family, the Jandalis put a premium on education. Abdulfattah was sent to a Jesuit boarding school, even though he was Muslim, and he got an undergraduate degree at the American University in Beirut before entering the University of Wisconsin to pursue a doctoral degree in political science. In the summer of 1954, Joanne went with Abdulfattah to Syria. They spent two months in Homs, where she learned from his family to cook Syrian dishes. When they returned to Wisconsin she discovered that she was pregnant. They were both twenty-three, but they decided not to get married. Her father was dying at the time, and he had threatened to disown her if she wed Abdulfattah. Nor was abortion an easy option in a small Catholic community.
