1. 密码法（草案）征求意见

2019年7月5日，《中华人民共和国密码法（草案）》在中国人大网公布，征求社会公众意见，征求意见截止日期为2019年9月2日。

草案共五章四十四条，主要内容包括：密码工作的领导和管理体制；密码的分类管理原则；密码发展促进和保障措施；核心密码、普通密码；商用密码；以及相应的法律责任。

1. Public Comments Requested on the Cryptography Bill

On July 5, 2019, the Cryptography Law of the People's Republic of China (Draft) was published on the website of the National People's Congress, and comments may be submitted until September 2, 2019.

With a total of 44 articles in five chapters, the Draft mainly covers the leadership and management system for cryptography-related work, principals for the classified cryptography management, measures for promoting and safeguarding cryptography development, core cryptography and ordinary cryptography, commercial cryptography, and corresponding legal liability.

2. 土地管理法、城市房地产管理法修正案（草案二次审议稿）征求意见

2019年7月5日，《中华人民共和国土地管理法》和《中华人民共和国城市房地产管理法》修正案（草案二次审议稿）在中国人大网公布，征求社会公众意见，征求意见截止日期为2019年8月3日。

《土地管理法》修正案（草案二次审议稿）修改、增加的主要内容包括：对征地情形及补偿标准进行了进一步完善；对集体经营性建设用地入市的条件、程序以及入市办法的制定等作出规定；规定经依法批准的国土空间规划是各类开发建设活动的基本依据，明确已经编制国土空间规划的，不再编制土地利用总体规划和城乡规划。此外，将有关条款中的“土地行政主管部门”修改为“自然资源主管部门”，“基本农田”修改为“永久基本农田”，“行政处分”修改为“处分”。

城市房地产管理法修正案草案未作修改。

2. Public Comments Requested on Bills to Amend Land Administration Law and Urban Real Estate Administration Law (for Second Deliberation)

On July 5, 2019, the Amendments to the Land Administration Law of the People's Republic of China and the Urban Real Estate Administration Law of the People's Republic of China (Draft for Second Deliberation) was published on www.npc.gov.cn, and comments may be submitted until August 3, 2019.

The Amendment to the Land Administration Law (Draft for Second Deliberation) further improves circumstances of land acquisition and compensation standards, provides for conditions and procedures for marketing of the collectively-owned commercial construction land and the formulation of marketing rules, and states that national land and space plans approved according to the law are the primary basis for all kinds of development and construction activities, and where the national land and space plans have been prepared, the overall plans for land utilization and the urban and rural plans will no longer be prepared. In addition, “competent administrative departments of land” in relevant articles is replaced with “competent departments of natural resources”， “basic farmland” is replaced with “permanent basic farmland”， and “administrative sanctions” is replaced with “punishments”。

The Bill to Amend the Urban Real Estate Administration Law has not been amended.

3. 社区矫正法（草案）征求意见发布

2019年6月25日，社区矫正法草案首次提请全国人大常委会审议。

草案细化了社区矫正的程序性原则，特别是各部门衔接配合的内容：一是明确社区矫正执行地为社区矫正对象的居住地；二是明确了社区矫正前的调查评估程序；三是对有关法律文书送达，社区矫正对象报到、接收等程序作了细化规定；四是规定了社区矫正机构依法对社区矫正对象实施考核奖惩，以及对社区矫正对象提请减刑、撤销缓刑、撤销假释、收监执行等情形时的衔接配合程序；五是对解除社区矫正、社区矫正终止等程序作了相关规定。此外，草案对未成年人社区矫正作了专章规定。

3. Public Comments Requested on Community Correction Bill

On June 25, 2019, the Community Correction Bill was submitted to the Standing Committee of the National People's Congress for deliberation for the first time.

The Bill details the procedural principles for community correction, especially the connection and cooperation among departments. Firstly, defining the place of residence of a community correction object as the place where the enforcement of community correction is sought. Secondly, clarifying the investigation and evaluation procedures before community correction. Thirdly, making detailed provisions on procedures for service of process, registration and acceptance of community correction objects. Fourthly, stipulating the assessment, reward and punishment of community correction objects implemented by community correction institutions according to the law, and connection and cooperation procedures under such circumstances as proposal for commutation, revoking probation, revoking parole, and taking them into custody to execute the criminal penalty. Fifthly, providing for the procedures for releasing and terminating community corrections, among others. In addition, a separate chapter is devoted to the community correction for minors.

4. 《证券公司股权管理规定》发布

2019年7月5日，证监会发布《证券公司股权管理规定》及《关于实施<证券公司股权管理规定>有关问题的规定》。

《股权规定》主要明确了以下基本制度：一是推动证券公司分类管理，支持差异化发展。二是强化穿透核查，厘清股东背景及资金来源。三是内外结合，实现全程监管。

《配套规定》主要明确了以下内容：一是明确设立证券公司或者证券公司变更注册资本、股权、5%以上股权的实际控制人等事项的申报文件要求。二是明确了实施《股权规定》的过渡期安排。

4. Provisions on Administration of Equities of Securities Companies Issued

On July 5, 2019, the China Securities Regulatory Commission issued the Provisions on the Administration of Equities of Securities Companies and the Provisions on Issues Concerning the Implementation of the Provisions on the Administration of Equities of Securities Companies.

According to the Provisions, the basic systems are clearly stipulated as follows: first, promoting the categorized management of securities companies and supporting the differentiated development; second, enhancing the pass-through verification to specify shareholders' backgrounds and sources of funds; third, the internal and external regulation are integrated to achieve the whole-process supervision.

The supporting provisions contain express requirements for the application documents for the establishment of a securities company, the change in registered capital, equity, or actual controller holding 5% or more equity of a securities company, and other matters, and the transitional arrangements for the implementation of the Provisions.

5. 两部委发三命令放宽准入

6月30日，国家发展改革委、商务部发布了《外商投资准入特别管理措施（负面清单）（2019年版）》、《自由贸易试验区外商投资准入特别管理措施（负面清单）（2019年版）》以及《鼓励外商投资产业目录（2019年版）》，均自2019年7月30日起施行。

《外资准入负面清单》条目由48条减至40条，在交通运输、增值电信、基础设施、文化等服务业领域，以及制造业、采矿业、农业领域均推出了新的开放措施，在更多领域允许外资控股或独资经营。

《自贸试验区负面清单》条目由45条减至37条，主要变化包括：一是推进服务业扩大对外开放。二是放宽农业、采矿业、制造业准入。三是继续发挥自贸试验区开放“试验田”作用。

《外商投资目录》包括全国鼓励外商投资产业目录和中西部地区外商投资优势产业目录，主要变化包括：一是较大幅度增加鼓励外商投资领域。二是鼓励外资参与制造业高质量发展。三是鼓励外资投向生产性服务业。四是支持中西部地区承接外资产业转移。

5. Two Departments Issue Three Documents to Relax Access of Foreign Investment

On June 30, 2019, the National Development and Reform Commission (NDRC) and the Ministry of Commerce (MOFCOM) issued the Special Administrative Measures (Negative List) for the Access of Foreign Investment (2019)， the Special Administrative Measures (Negative List) for the Access of Foreign Investment in Pilot Free Trade Zones (2019) and the Catalogue of Encouraged Industries for Foreign Investment (2019)， all effective from July 30, 2019.

From 48 items in 2018 version to the current 40 items, the Negative List of the Foreign Investment Access introduces new opening-up measures in such service fields as transportation, value-added telecommunications, infrastructure and culture, as well as manufacturing, mining, and agriculture fields, and allows a foreign party to have a controlling stake or run its business as a sole proprietorship in more fields.

From 45 items in 2018 version to the current 37 items, changes are appreciated in the Negative List in Pilot Free Trade Zones: further expanding opening up in service sector, relaxing the access in agriculture, mining and manufacturing, and continuously playing the role of pilot free trade zones as “experimental fields” for opening up.

The Catalogue for Foreign Investment includes the Catalogue of Encouraged Industries for Foreign Investment Nationwide and the Catalogue of Priority Industries for Foreign Investment in Central and Western China. The main changes are: significantly increasing encouraged fields for foreign investment, encouraging foreign investment to participate in the manufacturing high-quality development, encouraging foreign investment in producer service industry, and supporting the relocation of foreign-invested industries in central and western regions.

6. 税务总局修订《纳税服务投诉管理办法》

6月26日，国家税务总局发布修订《纳税服务投诉管理办法》的公告，对《纳税服务投诉管理办法》进行了修订，自2019年8月1日起施行。

修订的主要内容包括：扩展投诉主体；明晰业务边界；明确受理范围；压缩处理时限；建立快速处理机制；规范投诉处理流程；增加复核环节。

6. STA Revises Measures for Administration of Complaints About Tax Services

On June 26, 2019, the State Taxation Administration (STA) issued the revised Measures for the Administration of Complaints about Tax Services, effective from August 1, 2019.

The revision mainly includes: expanding the scope of complaint parties, clarifying the business boundaries, specifying the acceptance scope, reducing the time limit for processing complaints, establishing the quick processing mechanism, standardizing the complaint processing procedures, and adding the review link.
