一、上诉人海通建设集团有限公司与被上诉人陈桂香、李广安租赁合同纠纷案

Haitong Construction Group Co., Ltd. (appellant) v. Chen Guixiang and Li Guang'an (appellee) (case regarding dispute over lease contract)

【裁判要旨】

行为人擅自以公司的名义与相对人签订合同，只有当行为人的代理行为具有权利外观时，才构成表见代理。行为人的代理行为是否具有权利外观，应当考虑代理权人身份、授权书等证明文件。同时，相对人应当对权利外观进行审查，未尽到审查义务的，不应认定为表见代理。

[Judgment Abstract] 

Where an actor signs a contract with a counterparty in the name of a company without permission, the apparent agency only takes effect when such agency has rights appearance. The existence of agency rights appearance of an actor shall be determined on the strength of supporting documents such as the agent's identity certificate and power of authorization. Meanwhile, the counterparty shall review the rights appearance, and the apparent agency shall not be deemed to have been established unless such due diligence has been performed.

【裁判要旨】

人民法院在再审申请审查期间，发现当事人双方已经达成执行和解协议，对双方的民事权利义务作出处分，并且相关权利义务已经履行完毕，再审申请人亦没有在和解协议中声明不放弃申请再审的权利的，此时，人民法院应当裁定终结审查。

[Judgment Abstract]

If, during the period of examination of a retrial petition, a people's court found that both parties concerned have reached and fulfilled a settlement agreement for the disposal of their respective civil rights and obligations, then the court should decide to terminate the examination unless the retrial petitioner has declared in the settlement agreement that they reserve the right to petition for a retrial.

三、天津港保税区南方国际贸易投资有限公司房屋租赁合同纠纷案

China (Tianjin) Pilot Free Trade Zone v. South International Trade and Investment Co., Ltd. (case regarding dispute over a lease contract)

【裁判要旨】

建设工程是否竣工应依据法定的五项验收标准进行判断。即1.完成建设工程设计和合同约定的各项内容；2.有完整的技术档案、管理资料；3.有建筑材料、建筑构配件等试验报告；4.有各单位签署的质量合格文件；5.有工程保修书。人民法院在认定工程竣工时应该查明以上五项内容，不能在假设工程竣工的前提下做出鉴定结论。

[Judgment Abstract]

The completion and acceptance of a construction project should be judged according to the following five criteria: first, the design of the construction project and all content as agreed in the contract have been accomplished; second, technical files and management data are complete; third, test reports on construction materials, construction structures and fittings, among others, have been provided; fourth, all units have signed the documents of qualification; fifth, engineering warranty has been provided. Upon deciding on the completion of a project, a people's court should verify whether the above five acceptance criteria have been met, and should not make an appraisal conclusion on the premise that the project is assumed to be completed.
